Bandplain — Terms of sale (paid company licence, B2B)

1. Who we are
Bandplain is software provided by PPFTEC S.R.L., Romania · CUI RO55537142 · Trade Register no. J2026052999008 · share capital 500 RON · registered office: see Company details · support@ppftec.com ("we").
2. Who may buy
- This offer is made only to businesses, not to consumers. At the moment it is addressed only to businesses established in a Member State of the European Union other than Romania. Businesses established in Romania or outside the European Union cannot buy at present.
- At checkout you give the company's legal business name, billing address and EU VAT identification number. The VAT number is required. Our payment provider, Stripe, checks it in the EU VIES system. Your licence is issued only after the check confirms that the number is valid. If the check shows that the number is not valid, or cannot confirm it within 5 working days, no licence is issued, the order is cancelled and we refund the payment in full.
- The person who places the order confirms that they act for the company, not as a consumer, and that they have authority to bind it. You confirm that the company buys the licence for the purposes of its business. If an order does not meet §2.1 or §2.2, we may cancel it and refund the payment in full.
3. Ordering
- Steps: on the pricing page, choose Buy the licence. You then pay on a checkout page hosted by Stripe, our payment provider. There you enter your e-mail address, the company's legal business name and billing address, and its VAT ID. You tick the one acceptance box for these terms (§20) and pay by card.
- Correcting mistakes: you can review and correct all entries on the Stripe checkout page before you pay. After payment, you can update the company name, billing address and VAT ID in the customer portal (§5.3) for future invoices. If an invoice already issued is wrong, write to support@ppftec.com and we will correct it with a credit note and a new invoice.
- Language: the contract is concluded in English.
- Contract formation: the contract is concluded when Stripe confirms that your payment has succeeded. If the VAT check in §2.2 does not confirm your VAT number, the order is cancelled and refunded in full as set out there.
- What you receive:
- your licence code, issued once the VAT check in §2.2 has confirmed your VAT number. It is sent to you by e-mail, with its validity date, the link to the customer portal and the link to the version of these terms you accepted (§3.6). It is also shown on the confirmation page if the check has completed by then;
- Stripe's receipt and invoice, sent by Stripe in a separate e-mail.
- Keeping these terms: these terms are published at https://bandplain.ppftec.com/terms-of-sale/ in a form you can save and print before you pay. Each version also stays available at its own permanent address, https://bandplain.ppftec.com/terms-of-sale/{version}/, where {version} is the date that version was published. [to be built] The confirmation e-mail with your licence code links to the version you accepted, which is also recorded in your licence code. We keep every published version.
4. Licence and term
- One company licence covers one legal entity, for processing its own employees' and applicants' data. There is no limit on the number of users or devices within that company.
- Not covered: use for other companies' data (for example by advisers or payroll bureaus). Each client company needs its own licence, or the consultant plan once it exists, which will have separate terms.
- Term: the licence runs for one year from the payment date. Your licence code stays valid until the end of the paid period plus 14 days of grace. The grace period covers renewal payment retries; it does not extend the paid period. The licence is not transferable.
- During the term: you receive rule-pack updates and app updates.
- Pilot codes are free until 2027-06-30 and are governed by the pilot data-handling agreement, not by these terms of sale.
5. Automatic renewal and cancellation
- The licence renews automatically for another 12 months each year at the price in force on the renewal date, unless you cancel before that date. The renewal is charged to the card you used. After each paid renewal, we e-mail you a new licence code.
- Reminder: we send you a reminder by e-mail about 30 days before each renewal date. It tells you the renewal date and amount, and how to cancel (§5.3). If you do not receive the reminder, you can still cancel or ask for a refund within 14 days of the renewal charge (§11.2).
- Cancelling: you can cancel at any time in the Stripe customer portal. The link is in every licence e-mail and on the pricing page. You can also ask us at support@ppftec.com. The cancellation takes effect at the end of the paid period: the licence does not renew, and it stays valid until the end of the year you paid for (§4.3).
- Price changes: we announce them at least 30 days before the renewal they apply to.
6. How the app works: local-first
- The app runs in your browser. The payroll and pay data you import is processed and stored only on your device. We do not receive, store or have access to it, and we cannot recover it.
- Backups are encrypted files you create and keep. We do not hold the key.
- You are responsible for your devices, browser profiles, passphrases and backups.
- After the licence ends (by expiry, cancellation or refund), the data already in the app on your device stays readable and you can export it for at least 12 months. New calculations stop: running new calculations, importing or restoring real data needs a valid licence code. Keep your own exports for any period the law requires of you.
7. Your responsibilities
- You are the controller of all personal data you process with the app. You are responsible for meeting data protection law: lawful basis, employee information, record of processing and DPIA where required.
- You do not send us payroll data, files, exports or screenshots containing personal data, including through support.
- You use the app lawfully and do not try to break, attack or overload it.
8. No legal advice and no compliance guarantee
- The app provides structure, calculations and references to published rules. It is not legal advice and does not certify that your organisation meets its obligations.
- Each rule pack shows its version and the date the official sources were checked. Laws change and national guidance may differ. We review the rules regularly but cannot guarantee they are complete or current at the moment you use them.
- The app never states that you are "compliant". Do not present its outputs as a legal opinion or a certification. For decisions about your obligations, consult a qualified employment lawyer in the relevant country.
9. What we commit to
- The app works materially as described in the help pages for the version you use.
- We aim to review rule packs monthly, and to fix errors in deadline calculations promptly once you tell us about them.
- Remedy: if a material defect that you reported is not fixed within 30 days, you may end the licence and receive a pro-rata refund for the unused part of the term.
- There is no uptime commitment. The app runs on your device.
10. Price and payment
- Price: EUR 290 per company per year, excluding VAT.
- VAT: prices exclude VAT. Sales are made only to businesses established in an EU Member State other than Romania with a valid VAT number (§2). These supplies are not subject to Romanian VAT; VAT is due from you under the reverse-charge mechanism (Art. 196 of Directive 2006/112/EC; place of supply under Art. 44 of that Directive and Art. 278(2) of the Romanian Fiscal Code). The invoice states "Reverse charge / Taxare inversă".
- Payment: yearly in advance, by card, through Stripe. The price is set in EUR. Stripe's checkout may offer to show and charge the amount in your local currency, at an exchange rate and conversion fee set by Stripe; you can always choose to pay in EUR (decision 2026-10-07). The invoice is issued electronically by PPFTEC S.R.L. through Stripe, in EUR, and sent to you by e-mail. By ordering you agree to receive invoices electronically (Romanian Fiscal Code Art. 319(24)). [unverified: that the invoice stays in EUR when you pay in a local currency under Adaptive Pricing — test in Stripe test mode before live]
11. Refunds
- First purchase: you can ask for a full refund within 30 days of the payment date, no questions asked.
- Renewals: you can ask for a full refund within 14 days of each automatic renewal charge, no questions asked.
- How: write to support@ppftec.com from the e-mail address used for the order, or use the contact option in the customer portal. We refund to the card you paid with, through Stripe.
- A refund ends the licence. The licence code is revoked, and the subscription is cancelled so that it does not renew. Your data on your device stays as described in §6.
- Outside these periods there are no refunds, except:
- a full refund where the VAT check fails (§2.2);
- pro-rata where we end the service without fault on your side (§14.3); or
- under §9.3 or §16.2.
- As a business customer, you do not have the 14-day withdrawal right that consumers have.
12. Intellectual property
We keep all rights in the app, the rule packs and the templates. The company licence is for your own business only. Letters and reports you generate are yours.
13. Liability
- We are not liable for:
- (a) loss of data stored on your devices or in your backups;
- (b) decisions you make based on the app's outputs, and fines or penalties imposed on you, except where caused by our intent or gross negligence (§13.3), and in any case to the extent permitted by law;
- (c) indirect or consequential loss, loss of profit or loss of business;
- (d) losses caused by your devices, browser, extensions, networks or third-party services.
- Our total liability in connection with these terms is limited to the fees paid for the current licence year.
- Nothing in these terms limits liability for damage caused intentionally or by gross negligence (Romanian Civil Code art. 1355(1)), or any other liability that cannot be limited by law.
14. Termination
- You may cancel renewal at any time (§5.3).
- We may end the licence for a material breach of these terms after giving 15 days' written notice to cure it. We may end it immediately, by written notice and without any other formality or court decision, if you breach §7.2 or §7.3 (sending us payroll data, or attacking, breaking or overloading the app), or use the licence for other companies' data in breach of §4.2.
- If we end the service without fault on your side, we refund the unused part of the term pro rata.
15. Privacy
We process billing and order data as controller, to perform the contract and to meet tax and accounting obligations. This covers the company's legal name, the orderer's e-mail address, the billing address, the VAT ID and the result of its VIES check, and payment data handled by Stripe. Our licence record holds the licence id, company name, validity date, accepted terms version, billing country and Stripe references; it holds no card data and no payroll data. Retention: billing records and invoices are kept for 5 years from 1 July of the year after the financial year in which they were issued (Romanian Accounting Law 82/1991, art. 25, as amended by Law 36/2023). Licence and acceptance records are kept for the life of the licence and 3 years after it ends, or for the billing-record period if that is longer. The buyer privacy notice gives the details. We do not process the payroll data you import.
16. Changes to these terms
- For paying customers, changes apply from the next renewal.
- Changes required by law or for security apply after 30 days' notice. You may then end the licence and receive a pro-rata refund.
17. Law and courts
Romanian law applies. The courts of Romania competent for the place of PPFTEC's registered office, as recorded in the Romanian Trade Register on the date the contract is concluded (shown on the Company details page), have exclusive jurisdiction over any dispute arising from or in connection with these terms.
18. Order of precedence
If documents conflict, this order applies:
- a signed pilot data-handling agreement or other signed agreement;
- these terms of sale;
- the terms of use;
- the help pages.
